Agreement to Terms

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and urwave Company (Commercial Registration No. 7052775355), a limited liability company registered in the Kingdom of Saudi Arabia, operating under the trade name "urWave" ("Company", "we", "us", "our"). These Terms govern your access to and use of our websites (urwave.com), mobile applications, SaaS platforms, and related services (collectively, the "Services"). By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

Eligibility

To use our Services, you must: Be at least 18 years of age (the age of legal majority in Saudi Arabia); Have the legal capacity to enter into binding contracts under the laws of your jurisdiction; Not be prohibited from using our Services under Saudi Arabian law or the laws of your country of residence; If acting on behalf of a business entity, have the legal authority to bind that entity to these Terms and provide proof of such authority upon request. By using our Services, you represent and warrant that you meet all eligibility requirements. We reserve the right to verify your eligibility at any time.

Account Registration and Security

When you create an account, you agree to: Provide accurate, current, and complete information as required by Saudi regulations; Maintain and promptly update your information to keep it accurate; Keep your password confidential and secure using strong password practices; Not share your account credentials with any other person or entity; Enable two-factor authentication when available for enhanced security; Notify us immediately at security@urwave.com of any unauthorized access or security breach; Accept full responsibility for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or show signs of unauthorized access.

Intellectual Property Rights

All content, features, and functionality of our Services, including but not limited to: software, source code, algorithms, designs, graphics, user interfaces, logos, trademarks, service marks, text, images, videos, audio, and documentation are the exclusive property of urwave Company or its licensors and are protected by Saudi Arabian intellectual property laws, international copyright treaties, trademark laws, and other intellectual property rights. The urWave name, logo, and all related product names are registered trademarks of urwave Company. You may not: Copy, modify, adapt, or create derivative works; Distribute, sell, lease, sublicense, or commercially exploit any part of our Services; Reverse engineer, decompile, or attempt to extract source code; Remove or alter any proprietary notices or labels; Use our trademarks without prior written consent.

User Content

You retain ownership of content you submit through our Services ("User Content"). By submitting User Content, you grant urwave Company a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, adapt, publish, translate, and display your content solely for the purposes of operating, promoting, and improving our Services. You represent and warrant that: You own or have the necessary rights to submit the User Content; Your content does not violate any laws, third-party rights, or these Terms; Your content does not contain viruses, malware, or harmful code; Your content complies with Saudi Arabian regulations and public morality standards. We reserve the right to remove any User Content that violates these Terms or applicable law without prior notice.

Payment Terms

For paid Services: All fees are quoted in Saudi Riyals (SAR) or US Dollars (USD) as specified, and are exclusive of applicable VAT (15% in Saudi Arabia); Payment is due upon invoice unless otherwise agreed in writing; You authorize us to charge your designated payment method for all fees; Subscription services automatically renew at the end of each billing period unless cancelled at least 7 days before renewal; We may change pricing with 30 days advance written notice; Failed payments may result in service suspension after a 7-day grace period; You are responsible for all applicable taxes, including VAT and withholding taxes; Refunds are subject to our Refund Policy and Saudi Consumer Protection Law; Disputes must be raised within 30 days of the invoice date. All payments are processed through PCI-DSS compliant payment processors.

Service Availability and Modifications

We strive to maintain reliable, 99.9% uptime for our Services but do not guarantee uninterrupted access. We may: Perform scheduled maintenance (with advance notice when possible); Modify, update, or enhance features and functionality; Temporarily suspend services for security or technical reasons; Discontinue services with 90 days advance notice and pro-rata refunds for prepaid services. We will provide reasonable notice for significant changes and maintain transparency about service status through our status page. We are not liable for any modification, suspension, or discontinuation of Services beyond refunds for unused prepaid periods.

Indemnification

You agree to indemnify, defend, and hold harmless urwave Company, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees and court costs) arising from or related to: Your use of or access to our Services; Your violation of these Terms or any applicable law; Your violation of any third-party rights, including intellectual property rights; Your User Content or data you submit through our Services; Your negligence, willful misconduct, or fraudulent acts; Any dispute between you and any third party. This indemnification obligation survives termination of these Terms.

Termination

Either party may terminate this Agreement at any time by providing written notice. urwave Company may terminate or suspend your access immediately, without prior notice or liability, for: Material violation of these Terms; Non-payment of fees after the grace period; Fraudulent, illegal, or unauthorized activity; Extended period of account inactivity (12+ months); Request from law enforcement or government authority; Bankruptcy, insolvency, or dissolution of your business. Upon termination: Your right to use Services ceases immediately; You must cease all use and delete any materials obtained from our Services; We may delete your data after a 30-day retention period (subject to legal requirements); Any accrued rights and obligations survive termination; No refunds for partially used subscription periods unless required by law.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or our Services shall be resolved as follows: 1) Good Faith Negotiation: Parties shall attempt to resolve disputes through good faith negotiation for 30 days; 2) Mediation: If negotiation fails, disputes shall be submitted to mediation under the Saudi Center for Commercial Arbitration (SCCA) rules; 3) Arbitration: Unresolved disputes shall be finally settled by binding arbitration administered by SCCA in Riyadh, Saudi Arabia, conducted in Arabic or English as mutually agreed; 4) The arbitration award shall be final and binding, enforceable in any court of competent jurisdiction. CLASS ACTION WAIVER: All disputes must be brought in an individual capacity, not as a plaintiff or class member in any class, consolidated, or representative proceeding. You agree to the exclusive jurisdiction of the courts of Riyadh, Kingdom of Saudi Arabia, for any matters not subject to arbitration.

Privacy

Your privacy is important to us. Our Privacy Policy, available at urwave.com/Privacy, explains how we collect, use, protect, and share your personal information in compliance with Saudi PDPL, GDPR, and other applicable regulations. By using our Services, you consent to our data practices as described in the Privacy Policy. You acknowledge that you have read and understood our Privacy Policy.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by: Posting updated Terms on our website with a new "Last Updated" date; Sending email notification to the address associated with your account; Displaying prominent notice within our Services or mobile apps. Material changes are effective 30 days after posting. Non-material changes are effective immediately upon posting. Continued use of our Services after the effective date constitutes acceptance of the modified Terms. If you disagree with any changes, you must stop using our Services before the changes take effect.

Severability

If any provision of these Terms is found to be unenforceable, invalid, or illegal by a court of competent jurisdiction in Saudi Arabia or elsewhere, that provision shall be limited or eliminated to the minimum extent necessary. The remaining provisions shall remain in full force and effect and shall be interpreted to give effect to the original intent of the parties to the maximum extent permitted by law.

Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, Data Deletion Policy, and any other legal notices or agreements published on our Services or entered into separately, constitute the entire agreement between you and urwave Company regarding your use of our Services. These Terms supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral, relating to the subject matter hereof.
